Epplit Terms of Use and Usage Policy

This Terms of Use and Usage Policy (“Terms” or this “Policy”) governs your access to and use of the Epplit Software-as-a-Service platform, tools and related services (collectively, the “Epplit Platform” or the “Services”) provided by Epplit Pty Ltd (“Epplit”, “we”, “us”, or “our”).

By accessing, browsing, or using the Epplit Platform, including participating in any early-access, beta, pilot, or co-creation programs (collectively, “Use” or “Using”), you acknowledge that you have read, understood and agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent and warrant that you are authorised to accept these Terms on its behalf. If you do not agree to these Terms, you must not access or use the Services.

1. Scope and Status of the Services

1.1 Early Access / Co-Creation

At this stage, the Epplit Platform is made available on a limited, early-access and/or co-creation basis. The Services may be experimental, incomplete, subject to frequent change, and may not include all features, functionality, or security controls of a generally available product.

1.2 Purpose of Use

The Services are provided primarily to enable us to:

  • engage with users to understand their roles, companies, industries and requirements

  • gather feedback, ideas and requirements

  • co-design and validate potential solutions

1.3 No Guarantee of Availability

The Services may be suspended, modified or discontinued (in whole or in part) by Epplit at any time, with or without notice.

2. Eligibility and Accounts

2.1 Eligibility

You may use the Services only if you:

  • are at least 18 years of age (or the age of legal majority in your jurisdiction); and

  • have the power to enter into a binding contract with Epplit.

2.2 Account Registration

We may require you to create an account or provide certain registration information to access the Services. You agree to:

  • provide accurate, current and complete information; and

  • keep such information up to date.

2.3 Authorised Users and Credentials

Access to the Services is limited to individuals authorised by you or your organisation (“Authorised Users”). You are responsible for:

  • maintaining confidentiality of login credentials

  • ensuring Authorised Users comply with these Terms

  • all activities occurring under your account

You must not share credentials or permit unauthorised account use.

3. Acceptable Use

3.1 Lawful Purposes Only

You must use the Services solely for lawful purposes and not violate any laws, regulations, or third-party rights.

4. Prohibited Activities

Without limiting Section 3, you must not:

4.1 Unauthorised Access

  • Attempt to access unauthorised areas of the Platform

  • Bypass authentication or security controls

  • Probe or test system vulnerabilities without written consent

4.2 Malicious or Disruptive Use

Including but not limited to:

  • distributing malware

  • DoS/DDoS attacks

  • overloading or disrupting services

  • phishing or fraudulent schemes

4.3 Illegal, Harmful or Offensive Content

Do not upload or transmit content that is:

  • illegal

  • invasive of privacy

  • harmful, threatening, abusive, discriminatory, defamatory, hateful or obscene

4.4 Spam and Unsolicited Communications

You must not:

  • send unsolicited messages or spam

  • harvest contact information for unsolicited outreach

4.5 Intellectual Property Infringement

Do not infringe copyrights, trademarks or third-party rights, or upload content you do not have permission to use.

4.6 Reverse Engineering and Misuse

You must not:

  • reverse engineer or derive source code

  • build competing products

  • resell or sublicense the Services without permission

4.7 Impersonation and Misrepresentation

Do not impersonate others or misrepresent your identity.

5. Customer Data and Privacy

5.1 Customer Data

You may provide personal information or business data (“Customer Data”). You are responsible for ensuring:

  • Customer Data is accurate and lawful

  • you have rights and consents to provide it

  • your submission complies with applicable law

5.2 Use of Customer Data

You grant Epplit a non-exclusive, worldwide, royalty-free licence to process Customer Data for:

  • providing and improving the Services

  • understanding user needs

  • co-creation and validation activities

5.3 Aggregated and De-Identified Data

Epplit may use de-identified or aggregated data for analytics, reporting and service improvement. We will not attempt to re-identify individuals.

5.4 Privacy Policy

Our Privacy Policy forms part of these Terms. You should review it before using the Services.

5.5 Data Security

Epplit implements reasonable security measures, but:

  • no system is completely secure

  • you are responsible for backing up Customer Data

  • Epplit is not liable for loss outside its reasonable control

6. Intellectual Property

6.1 Epplit IP

All rights in the Epplit Platform, software, interfaces, design and materials remain the exclusive property of Epplit and its licensors.

6.2 Limited Licence

You are granted a limited, revocable, non-exclusive, non-transferable licence to use the Services for:

  • internal evaluation

  • providing feedback and participating in co-creation

6.3 Feedback

Epplit may freely use suggestions or feedback you provide without obligation.

7. Suspension and Termination

7.1 Suspension for Breach or Risk

Epplit may restrict or terminate access if you:

  • breach these Terms

  • pose security, operational or legal risk

  • if required by law

7.2 Termination by Epplit

We may terminate access at any time, with or without cause.

7.3 Termination by You

You may stop Using the Services at any time and contact us to close your account.

7.4 Effect of Termination

Upon termination:

  • your access ceases

  • your account may be deleted

  • Customer Data may be deleted or anonymised

  • surviving clauses remain in effect (e.g., IP, liability, indemnity)

8. Disclaimers

8.1 “As Is” Basis

The Services are provided “as is” during the early-access phase. Epplit disclaims all warranties to the extent permissible by law.

8.2 No Professional Advice

Information provided through the Services is general and not professional advice.

9. Limitation of Liability

To the maximum extent permitted by law:

9.1 Exclusion of Indirect Loss

Epplit is not liable for indirect, consequential, special, or punitive damages.

9.2 Cap on Liability

Epplit’s total liability is limited to:

  • AUD $100, or

  • the fees paid by you in the preceding three (3) months,
    whichever is greater.

10. Indemnity

You agree to indemnify Epplit and its personnel from claims arising out of:

  • your Use of the Services

  • Customer Data

  • your breach of these Terms or law
    (except where caused by Epplit’s negligence or misconduct)

11. Changes to These Terms and the Services

11.1 Changes to the Services

Epplit may modify or discontinue the Services at any time.

11.2 Changes to These Terms

We may update these Terms, with the “Last Updated” date amended accordingly. Continued use constitutes acceptance of changes.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia.
You and Epplit submit to the non-exclusive jurisdiction of its courts.

13. General

13.1 Entire Agreement

These Terms and referenced documents constitute the entire agreement.

13.2 Severability

Invalid provisions will be enforced to the maximum extent possible; the remainder stays in effect.

13.3 No Waiver

Failure to exercise rights does not constitute a waiver.

13.4 Assignment

You may not transfer your rights without consent. Epplit may assign its rights without restriction.

13.5 Relationship

These Terms do not create a partnership, joint venture, employment or agency relationship.
